Terms Of Service

 

The parties have agreed to brand courses produced and owned by Videotile in the style of THE DISTRIBUTOR and Videotile grants a licence to distribute and exploit the courses to THE DISTRIBUTOR under the following conditions.

It was agreed that this memorandum will form the basis of the relationship between the parties to commence upon delivery of login details for THE DISTRIBUTOR branded LMS and access to the functioning system and course content.

 

General Exploitation

The underlying principle of the relationship is that VideoTile at its own cost will provide and maintain with timely updates the intellectual content of the courses. This will include all narrative and written content and approval of all audio/visual content.

VideoTile at its own cost will provide the production, licensing, customisation, production of content updates, video hosting, technical support and certain marketing materials.

VideoTile will provide a fully functioning customised version of the online learning materials and THE DISTRIBUTOR will be free to distribute licences for the use of the course material to end user client companies based on the commercial model that was selected at registration and emailed to both parties.

 

OSHA Outreach Course Advertising & Pricing Requirements

1. Minimum Advertised Price (MAP):
Distributor agrees to advertise the OSHA Outreach Training courses at or above the following minimum recommended retail prices (RRP):

    • OSHA 10-Hour Course: $59 USD
    • OSHA 30-Hour Course: $159 USD

 

2. Advertising Language Requirements:

When advertising the OSHA 10-Hour or 30-Hour Outreach courses, Distributor must strictly comply with the following guidelines:

Prohibited Terms:

    • “OSHA approved” – OSHA does not “approve” trainers or classes/courses.
    • “Certified” – The OSHA Outreach Training Program is not a certification program and cannot be advertised as such.
    • “Compliant” or “Ensures compliance” – Only the customer can ensure that their workforce understands site-specific requirements. These terms must not be used in connection with OSHA outreach training.

 

Permitted Terms:
The following terms are acceptable and may be used in promotional materials:

    • “OSHA authorized” – You may state that UL is OSHA-authorized to provide 10 and 30-hour outreach training.
    • “Conform” – You may state that UL’s outreach training is designed to conform to all federal OSHA requirements for online outreach training.

The following disclaimer must appear on every page where OSHA outreach courses are advertised:

VideoTile

VideoTile will produce, maintain and host the course content and provide the delivery system and online payment function.

General

VideoTile will grant THE DISTRIBUTOR a distributor licence. VideoTile will provide a customised version of the content and assist THE DISTRIBUTOR in its implementation and will also supply branded marketing matertials.

THE DISTRIBUTOR

Immediately following the availability of the branded courses THE DISTRIBUTOR will make the courses available to their clients and the general public via their website under their brand which will be modestly co-branded with VideoTile. THE DISTRIBUTOR will also actively promote the courses as part of its general marketing and promotional activities.

THE DISTRIBUTOR must not use the IACET logo in any way and must not refer to themselves being accredited by IACET.

 

Licence limitation

The licence provided to THE DISTRIBUTOR is strictly for retail sales and the courses may not be sold on or marketed by their customers.

Recommended Retail Prices will be provided for the courses.

We the parties acknowledge that this is a true memorandum of understanding.
